6. Assignment


6. This Agreement and the services contemplated below are personal to the Consultant, and the Consultant has no right or ability to assign, transfer or subcontract any obligations under this Agreement without the written consent of the Company. Any attempt to do so will be void.

7. Payment


7.1. The Company will invoice the Customer monthly, either in advance or following the Services provided. Before the Company carries out any work, Customers are generally asked to provide a non-refundable security deposit. This deposit is like a rent deposit. It is stored securely and will be charged to the Customer's last invoice (s) once the work detailed in an order has been completed. In addition, if the Customer does not pay a monthly invoice when it is due, the Company shall use the deposit to pay the invoice and will not do any other work until the deposit has been replaced.

7.2. The Customer must pay each invoice submitted by the Company within 14 working days of the date of the invoice and in cleared funds. The invoice number must be indicated on all payments and payments by direct debit.

7.3. Late payment will be deemed to constitute a material breach of the Agreement authorizing the Company (at its discretion) to terminate the Agreement or to confirm the Agreement and to pursue the usual remedies in the event of breach.

7.4. In the event that the Services cannot be delivered in whole or in part due to the Customer's non-assistance or the delay in assisting with the execution of the Order, the Company will be entitled to invoice the Customer an amount estimate, corresponding to the amount that would have been due if the services had been rendered in accordance with the order. the Company will be entitled to payment based on the Company's price list applicable from time to time for any additional work required as a result of Customer's non-assistance or delay in assistance.

8. Delays and Complaints


8.1. In the event that the Customer proves that the Services are delayed or not in conformity with the Contract, the Company will be obliged to remedy or deliver, at its discretion, without undue delay. In the event that the Services continue to fail to comply with the Contract after reasonable attempts have been made to remedy it, the Customer shall have the right to cancel the Order in accordance with clause 9, provided that the breach is material.

8.2. Complaints about delays or breach of contract should be made immediately after the customer became aware or should have known about the problem. If the Customer does not report the defect (unless, by its very nature, it is impossible to notice it within such a period) to the knowledge of the Company within 48 hours, the Customer will be deemed to have accepted the Services and no 'will not have the right to appeal in case of delay or breach of contract.

8.3. The Customer hereby acknowledges that certain Services are based on goods and / or services provided by third parties (“Third Party Services”). The Client acknowledges that the Third Party Services will be governed by the terms and conditions of such third parties and that the Company cannot provide any warranty with respect to the Third Party Services and will not be liable to the Client for delays and / or breaches in compliance with the same thing. Third-party service providers may provide their own guarantees to the customer and the customer must ensure that these guarantees (if any) are acceptable for the customer's business objectives or risk management policies.

8.4. The sole responsibility of the Company with respect to Third Party Services is to exercise reasonable care and skill in selecting the providers of such Third Party Services.

8.5. The Customer's exclusive remedies in the event of late delivery or Services not conforming to the Contract are as specified in this clause 8 and, if the remedies provided for in these Conditions have been exhausted, the Customer's last recourse is limited to cancellation of the Contract and of the Company's sole undertaking. the responsibility is to reimburse any payment for Services that do not comply with the Contract, subject to the limitations set out in article 4 above.

8.6 Advertising expenses and automation costs are not reimbursable.

9. Termination


9.1. If either party materially violates any material provision of this Agreement, the other party may terminate this Agreement on five (5) days written notice, unless the violation is remedied within the notice period. The Company may also terminate this Agreement at any time, with or without cause, upon ten (10) days notice, but, if (and only if) without cause, the Company will pay to the Client on termination all unpaid amounts. and undisputed due for the completed Services. before termination.

10.3. The obligation set out in clause 10.2 does not apply to any information which is or becomes accessible to the public other than in the event of a breach of this Agreement, is already or rightly in the possession of the Company without obligation of confidence which accompanies it, is developed independently by the Company, or that the Company is required to disclose by law.

10.4.
